Terms of Service

1Who we are

InvestAssist is a Dutch sole proprietorship (eenmanszaak) based in Amsterdam, The Netherlands.

In these Terms, “we”, “us” and “our” mean InvestAssist. “You” means the person using the service.

2Agreeing to these Terms

By creating an account or using InvestAssist, you agree to these Terms. If you do not agree, do not use the service.

You confirm that you are at least 18 years old, that you have the legal capacity to enter into this agreement, and that you are acting for your own personal purposes.

These Terms are the agreement governing your use of InvestAssist. Our Privacy Policy and Cookie Policy explain how we handle personal data, cookies, and similar technologies. They are privacy notices rather than separate contracts.

3What InvestAssist does

You choose instruments that you own or are watching and select a monitoring intent for each of them. We monitor supported instruments against rule-based market conditions and surface conditions that are relevant to the structured choices you made.

The service currently includes:

• A web portal containing My Brief, showing conditions currently relevant to instruments on your watchlist
• Neutral condition labels and explanations describing what our rules detected
• Watchlist and preference controls, including ownership status, monitoring intent, and supported mute settings
• Optional email delivery of your brief if you enable it

InvestAssist is a monitoring and information tool. It does not tell you what transaction to make, and it is not designed to select investments for you.

4What InvestAssist is not

InvestAssist does not:

• Provide investment advice or make personal recommendations
• Assess your overall financial situation, financial objectives, knowledge, experience, loss-bearing capacity, or risk tolerance
• Assess whether any financial instrument or transaction is suitable or appropriate for you
• Execute, transmit, arrange, or facilitate transactions
• Hold your money, financial instruments, or brokerage credentials
• Manage a portfolio on your behalf
• Act as a broker, dealer, intermediary, custodian, or portfolio manager

You do provide limited structured information about an individual instrument, such as whether you own or watch it and the monitoring intent you selected. We use those choices only to determine which predefined conditions are eligible to be shown to you. We do not use them to assess your personal suitability or to recommend a transaction.

Specifically, InvestAssist is designed not to provide investment advice as defined in Article 4(1)(4) of Directive 2014/65/EU (MiFID II), not to make a personal recommendation as defined in Article 9 of Commission Delegated Regulation (EU) 2017/565, and not to carry on the activity of adviseren within the meaning of Article 1:1 of the Wet op het financieel toezicht.

The underlying analytical logic is rule-based and deterministic: the same structured inputs and market data produce the same analytical result. Your own display preferences, such as muting a supported condition, may affect whether that result is shown to you.

Nothing provided by InvestAssist is investment, financial, legal, tax, or accounting advice, or a recommendation to buy, sell, or hold any financial instrument.

545-day free trial

Eligible new accounts receive a 45-day free trial for up to 10 assets. This means:

• No payment method is required to begin. Starting a trial does not create a paid subscription and does not authorise a charge.
• Ten days before expiry, we will send a transactional reminder inviting you to subscribe if you choose to continue.
• If you do not actively subscribe, paid product functionality ends at the trial expiry time. Your account and saved data are not deleted merely because the trial expires.
• Features may change, break, be unavailable, or be withdrawn. Beta software is unfinished.
• A brief or condition may be delayed, incomplete, unavailable, or incorrect.
• Access may be limited while we test the product.

Beta feedback

The beta exists so we can learn whether InvestAssist is useful and where it fails. We ask beta participants to help us by:

1. emailing hello@invest-assist.com if you notice something that looks odd, incorrect, or broken; and
2. completing a short feedback survey that we expect to send about two weeks after your beta access begins.

We would be grateful if you make a reasonable effort to provide this feedback, but it is not a contractual condition of using InvestAssist. There is no fee, financial penalty, or automatic loss of access if you do not provide feedback.

We may suspend, change, end the beta, or discontinue InvestAssist at any time. Where reasonably practicable, we will give advance notice. We may act immediately where necessary for security, legal, abuse-prevention, infrastructure, supplier, or other urgent operational reasons.

6Paid subscription

After the trial, InvestAssist offers one monthly subscription at €9 per month including VAT for up to 10 assets:

• We will never charge you without your express agreement. A trial does not automatically convert into a paid subscription.
• You must actively choose to subscribe and provide payment details before any charge applies.
• If you do nothing, you are not charged. Free access may end, but you will not be billed for something you did not actively agree to buy.
• Once subscribed, the subscription renews monthly until cancelled. Cancellation takes effect consistently with the billing screen shown when you subscribe, without limiting mandatory consumer cancellation or withdrawal rights.

14-day statutory withdrawal right

Your 45-day free trial is not a paid service contract. The statutory withdrawal period begins when you later affirmatively conclude the paid monthly subscription contract. As a consumer, you may withdraw from that paid contract without giving a reason until the end of the fourteenth day after it was concluded, subject to any longer period mandatory law provides.

You can exercise this right through the clearly labelled online withdrawal function, or by sending an unambiguous statement to hello@invest-assist.com or the postal address in section 19. We will immediately provide an electronic receipt showing the affected contract and the date and time received. You may also use this model wording: “I hereby give notice that I withdraw from my InvestAssist monthly subscription concluded on [date]. Name: [name]. Account email: [email]. Date: [date].” A reason and signature are not required for an online notice.

We provide paid access immediately after successful subscription activation. We do not ask you to waive your withdrawal right. If you validly withdraw during the statutory period, we will end the paid contract and refund the subscription payment in full to the original payment method, normally within 14 days after receiving your notice. We do not deduct a proportion for use during this period under the consumer-friendly policy implemented for this service.

Withdrawal is different from ordinary cancellation. Withdrawal unwinds the paid contract and may carry a statutory refund. Ordinary cancellation stops future renewal and normally leaves access available through the paid period. The billing area presents these as separate actions.

7Your account

You need an account to use InvestAssist. You may sign in using supported authentication methods, currently including email/password and Google sign-in.

Give us an accurate email address and keep it current. We use it for account communications and, if you enable email brief delivery, to send your brief.

You are responsible for keeping access to your account secure and for activity carried out through it. Tell us promptly at hello@invest-assist.com if you think someone else has gained access.

Your account is personal to you. You may not share it, resell access, sublicense it, or use InvestAssist to provide a service to anyone else.

8Earlier pilot participants

If you took part in an earlier InvestAssist pilot, that pilot has ended. Pilot accounts do not carry over. To use the current beta you need to sign up again and accept these Terms.

Data collected during an earlier pilot is handled under the privacy terms that applied to that pilot and our current Privacy Policy, as applicable. If you took part and want to ask about or request deletion of earlier pilot data, email hello@invest-assist.com.

9Market data and availability

InvestAssist relies on market data supplied by Twelve Data and may use other market-data sources in future where needed to operate the service.

InvestAssist is not a real-time trading-data service. The product primarily uses end-of-day and other non-intraday data to evaluate monitoring conditions. Data can arrive late, contain errors, be corrected later, or be unavailable for a particular instrument, venue, or date.

Where market data supplied by Twelve Data is displayed, attribution and any market-specific notices may also be shown in the product as required by our data licence and applicable exchange rules.

We do not guarantee that market data is accurate, complete, timely, or continuously available, and we are not responsible for errors originating with third-party data sources to the extent permitted by applicable law.

We aim to keep InvestAssist available, but we do not promise uninterrupted service. We may suspend or restrict the service for maintenance, security, supplier outages, legal reasons, or other operational needs.

10Acceptable use

You agree not to:

• Use InvestAssist for anything unlawful
• Resell, redistribute, sublicense, or commercially exploit the service, its output, or underlying licensed market data except where we expressly permit it
• Use InvestAssist to provide regulated financial services, or to generate advice or recommendations for anyone else
• Scrape, crawl, or systematically extract data from the service, or attempt to reconstruct proprietary rules or models
• Circumvent access controls, rate limits, or security measures
• Interfere with the service or the infrastructure it runs on

If you break these rules, we may suspend or close your account. Where the issue is not serious or urgent, we will normally contact you first and give you a reasonable opportunity to stop the problematic use.

11Intellectual property

The service, our software, rule sets, brand, and content we produce are ours or our licensors’ and remain so. We grant you a personal, non-exclusive, non-transferable licence to use InvestAssist for your own purposes while your account is active.

The watchlist, ownership status, monitoring intents, and preferences you enter remain your information. You give us only the rights necessary to store and process them to provide the service. You can delete your account through the product and can request a copy of personal data covered by applicable data-protection rights by contacting us.

Market data remains subject to the rights and licence terms of the relevant data providers and exchanges.

12Communications

We send different kinds of email for different reasons.

Account and service notices. We may send emails that are necessary to operate your account or communicate important matters, such as account verification or password-reset messages, security notices, material changes to these Terms, or notice that the service is changing or ending. You cannot opt out of a notice that is necessary to operate your account or comply with law, although you can close your account at any time.

Brief emails. Email delivery of My Brief is optional. You can enable or disable brief email delivery in your settings. Disabling brief email does not close your account; you can continue to use My Brief in the portal.

Marketing emails. Marketing is separate. We send marketing emails only if you opt in, and you can unsubscribe at any time without affecting your account or service emails.

We send notices to the email address on your account. Keep it current.

13Conflicts of interest

The operator of InvestAssist may hold positions in instruments that appear in briefs. This is disclosed because it is true, not because it changes the analytical rules. The underlying condition logic is fixed in advance and is not changed for an instrument because of a position held by the operator.

InvestAssist does not engage in market making, does not accept payment to feature or promote a security, does not accept compensation from issuers for condition treatment, and does not receive commission, rebates, or payment for order flow from a broker or trading platform.

14Liability

Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law, including mandatory consumer law. Nothing here limits liability for fraud, intentional misconduct, or other liability that cannot lawfully be excluded or limited.

InvestAssist is an informational beta service. You remain responsible for your own investment decisions and for checking information before acting on it. To the extent permitted by applicable law, we are not responsible for investment or trading losses that arise from a decision you make, or for indirect or consequential losses caused by reliance on beta output, unavailable service, or third-party market data.

For any other liability, and only to the extent that a monetary limitation is permitted by applicable law, our total aggregate liability to you arising out of or in connection with these Terms in any twelve-month period is limited to €500. Nothing in this section reduces rights or remedies that mandatory consumer law gives you.

15Ending this agreement

You can stop using InvestAssist and close your account at any time through your account settings or by contacting hello@invest-assist.com.

We may suspend or end your access if you materially breach these Terms, if we reasonably need to protect the service or other users, if a supplier or legal requirement prevents us from continuing, or if we end the beta or discontinue the service.

We may discontinue the beta or the service at any time. Where reasonably practicable, we will give advance notice, but we do not promise a minimum notice period. Urgent security, legal, abuse, supplier, or operational circumstances may require immediate action.

Ending your account or our discontinuation of the beta does not affect any data-protection rights that continue to apply. If you want a copy of personal data that is subject to an access or portability right, you can request it by emailing hello@invest-assist.com. Your personal data after account closure is handled as described in our Privacy Policy.

Sections 4, 11, 13, 14, 17, and any provisions that by their nature should continue will survive the end of this agreement.

16Changes to these Terms

We may update these Terms as the beta develops. If a change materially affects your rights or obligations, we will give reasonable advance notice where practicable and, where required by law, ask you to accept the updated terms before they apply to you.

Minor, administrative, legal-compliance, security, or clarification changes may take effect when published if advance notice is not required by law.

We keep dated copies of previous versions and will provide one on request.

17Governing law and disputes

These Terms are governed by Dutch law, subject to any mandatory consumer protections that apply in your country of residence.

If something goes wrong, please contact hello@invest-assist.com so we have an opportunity to resolve it directly.

Nothing in these Terms restricts your right to bring a claim before a court that has jurisdiction under applicable consumer and procedural law. We do not currently participate in a certified alternative dispute resolution scheme.

18General

If any provision of these Terms is found to be invalid or unenforceable, the rest continues to apply.

We may transfer our rights and obligations under these Terms to another party, for example if the business is sold, provided the transfer is lawful and does not reduce rights that cannot legally be reduced. We will provide notice where required.

Not enforcing a right on one occasion does not mean we give it up.
